Welcome to Foyer Social LLC, a Delaware company ("Foyer," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of our websites, apps, experiences, Partner Rewards program, Venue Program, and any related services (collectively, the "Services"). By using the Services, you agree to these Terms.

Who We Serve

We serve (a) members and guests attending events or redeeming rewards; (b) partner businesses participating in our Partner Rewards program; and (c) approved venues participating in our Venue Program. Specific terms for partners and venues are in the sections below and supplement the general terms.

Eligibility and Accounts

You must be at least 18 years old and legally able to enter contracts to use the Services. You are responsible for keeping account credentials confidential and for all activity under your account. Provide accurate, current information; we may suspend or terminate accounts for inaccurate data or misuse.

Memberships and Subscriptions

Memberships, passes, or subscriptions may auto-renew unless cancelled in accordance with the offer terms. Pricing and benefits are described at checkout; we may update pricing upon notice. Certain events or perks may have additional terms presented at booking or redemption.

Reservations, Events, and Attendance

RSVPs and bookings may require deposits or payment holds. No-shows or late cancellations may incur fees, forfeited deposits, or loss of access to future events. You agree to comply with venue rules (dress code, age restrictions, conduct) and local laws. Foyer may change or cancel events; when possible, we will notify you and issue applicable refunds or credits per the event terms.

Partner Rewards Program

Partner businesses set offers, spend thresholds, and eligible products or services. Foyer may request proof of spend (e.g., receipts) to validate redemptions. Misuse (fraudulent receipts, duplicate redemptions, circumvention) may result in denial of rewards, account suspension, or chargebacks. Partners remain responsible for complying with applicable promotional, consumer protection, and tax laws.

Venue Program

Venues must be approved by Foyer and may be subject to guaranteed minimums, staffing commitments, and guest experience standards. Foyer may share guest profiles, preferences, and arrival windows to support service delivery. Venues are responsible for maintaining required licenses, permits, insurance, and compliance with health, safety, and alcohol laws. Foyer may pause or terminate venue participation for service quality issues or non-compliance.

Payments and Fees

Payments may be processed by third-party providers. You authorize charges for memberships, tickets, deposits, minimums, and service fees shown at checkout. Refund eligibility is determined by the applicable offer or event policy. Partners and venues agree that Foyer may offset amounts owed (including chargebacks, refunds, or penalties) against payouts where permitted by the underlying agreement.

User Conduct

You agree not to: (a) abuse, harass, or harm other users, partners, or venue staff; (b) attempt to circumvent access controls or misuse promo codes; (c) interfere with or disrupt the Services; or (d) use the Services for unlawful purposes. We may suspend or terminate access for violations.

User Content and Intellectual Property

The Services and all related content are owned by Foyer and its licensors. You retain rights to content you submit but grant Foyer a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with providing the Services. Do not submit content you do not have the right to share.

Data and Privacy

Our collection and use of personal data are described in our Privacy Policy. We may share necessary information with partners and venues to deliver bookings, rewards, safety, and support (for example, guest names, arrival windows, or dietary notes).

Third-Party Services

The Services may link to or rely on third-party sites, payment processors, booking tools, or communication platforms. We are not responsible for third-party services, and your use of them may be governed by their terms and policies.

Disclaimers

To the fullest extent permitted by law, the Services are provided "as is" and "as available." We do not warrant uninterrupted or error-free operation, or that events, offers, or venues will meet your expectations. Foyer does not guarantee outcomes of partner offers or venue experiences beyond what is expressly stated.

Limitation of Liability

To the maximum extent allowed by law, Foyer and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities. Our aggregate liability for claims relating to the Services will not exceed the amounts you paid to us for the Services in the three (3) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Foyer, its affiliates, and their officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorneys’ fees) arising from your use of the Services, your content, or your violation of these Terms or applicable law.

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Venue for any disputes will be the state or federal courts located in Delaware, unless otherwise required by applicable law.

Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by posting an updated version with a new "Last updated" date and, where appropriate, additional notice. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
